These Terms & Conditions (“Terms”) govern your use of our website(s), online platforms, e-commerce stores, and any related digital services (collectively, the “Site” or “Service”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you may not access or use the Site.

These Terms form a binding contract between you (“you” or “User”) and:

  • Remco Tools LLC, a U.S. Oregon limited liability company (serving North America), and
  • Remco Tools BV, a Belgian limited liability company (serving the EU, UK, Switzerland, and Norway).

For other countries, we may use distributors or third-party channels. References to “Remco Tools,” “we,” or “us” include our affiliates, subsidiaries, and related companies.

2. Eligibility & User Accounts

  1. Eligibility Requirements
    • You represent and warrant that you are at least the age of majority in your jurisdiction (18 in most U.S. states). If you do not meet this requirement, you must not use the Site.
    • There are no separate restrictions regarding consumer vs. business usage unless otherwise noted.
  2. Account Registration
    • Some features (including purchasing) may require you to create an account.
    • You agree to provide accurate, complete information and keep it updated.
    • You are responsible for maintaining the confidentiality of your login credentials and any activities under your account.
  3. Account Suspension or Deletion
    • We may suspend or delete your account if we believe you have violated these Terms or any applicable law.

3. Purchases & Payment

  1. Product Descriptions & Pricing
    • We aim for accuracy in product descriptions, though minor variations (e.g., color, dimensions) may occur.
    • Prices are subject to change without notice and may vary based on region (taxes, shipping, currency).
  2. Orders
    • Placing an order signifies your agreement to pay the displayed price plus any taxes and fees at checkout.
    • We reserve the right to accept or reject any order (e.g., for suspected fraud, errors, or product unavailability).
  3. Payment Methods
    • We accept major credit cards and other methods indicated at checkout.
    • Payments are processed by third-party providers, so we do not store your card information.
    • If your payment fails, we have no obligation to fulfill your order.
  4. Ownership & Risk of Loss
    • Title passes to you once we receive full payment.
    • Risk of loss or damage passes upon delivery to your specified address (see “Risk After Delivery” below).

4. Shipping, Delivery & Force Majeure

  1. General Shipping
    • We currently ship to addresses in the United States, Canada, the EU, the UK, Switzerland, and Norway. For other regions, we may refer you to local distributors.
    • Any quoted delivery timelines are estimates. Actual arrival dates may vary due to carrier delays, customs, or other unforeseen circumstances.
  2. Risk After Delivery
    • Once tracking data shows an order as “delivered” (or items are otherwise left at your designated location), you assume all risk of loss or theft. We are not responsible for lost or stolen packages after the carrier marks them delivered.
  3. Failed Delivery
    • We are not liable for delivery failures or delays due to inaccurate or incomplete shipping information provided by you.
    • If a package is returned to us after failed delivery attempts, you may be responsible for additional shipping fees for redelivery.
  4. Force Majeure
    • We are not liable for any failure or delay in our performance under these Terms if caused by events beyond our reasonable control, including but not limited to natural disasters, strikes, war, terrorism, governmental actions, pandemics, or carrier disruptions. Our obligations are suspended for the duration of such events.

5. Returns & Refunds

  1. U.S. & Non-EU/EEA/UK/Switzerland/Norway Customers
    1. Return Window: We accept returns for eligible products within 14 days of delivery to your shipping address. Any return request after 14 days is refused.
    2. Condition of Returned Items: Products must be:
      • Unused,
      • In their original packaging (including manuals, accessories),
      • In resellable condition without signs of wear or damage.
    3. Non-Returnable Items: Final sale/clearance items, customized products, or products that cannot be resold once opened (e.g., sealed hygiene items) are not eligible for return.
    4. Return Authorization: Contact info@remcotools.com within the 14-day window for a Return Merchandise Authorization (RMA). Returns without an RMA may be refused.
    5. Return Shipping: Unless we shipped you an incorrect or defective item, you bear the cost of return shipping and assume risk of loss during transit (use a trackable method).
    6. Refund Processing:
      • Upon receiving and inspecting the returned product, we’ll notify you of approval or rejection of your refund.
      • Approved refunds go back to your original payment method (generally within 14 days).
      • We do not refund original shipping costs or customs/import duties (if any) unless it’s our error or a verified defect.
  2. EU/EEA/UK/Switzerland/Norway Customers
    1. Right of Withdrawal: You have 14 days from receipt to exercise your statutory right of withdrawal.
    2. Withdrawal Procedure: Notify us (e.g., email to info@remcotools.com or using our Model Withdrawal Form) before the 14-day period ends, then return the goods (unused, in original packaging) without undue delay.
    3. Return Costs & Condition: You pay return shipping unless the goods were damaged or incorrect. We may reduce your refund if the goods’ value is diminished by excessive handling.
    4. Refunds: We refund all payments received for those goods, including standard shipping (if charged), within 14 days of receiving the returned goods or proof of dispatch.
  3. Damaged, Defective, or Incorrect Items
    • If an item arrives damaged, defective, or does not match your order, contact info@remcotools.com within 5 days of delivery. We’ll arrange a replacement or return at our expense if confirmed.
  4. Exclusions & Waivers
    • Claims made outside the above timeframes or conditions are not honored unless required by applicable law.
    • We reserve the right to refuse a return or apply a restocking fee if items do not meet policy criteria.

6. Product Use & Safety

  1. Tool Usage & Risks

    Our products include bicycle maintenance tools, which if used improperly or without adequate safety measures, can result in personal injury or property damage. By purchasing or using these tools, you acknowledge and assume these risks.

  2. Compliance & Instructions

    Always follow product instructions, industry best practices, and local regulations or standards (especially if you are a professional mechanic). We are not liable for injuries or damages resulting from misuse, incorrect assembly, or failure to follow instructions.

  3. No Guarantee of Suitability

    You are solely responsible for determining whether the product is suitable for your specific use. If a product requires professional expertise, ensure you have or consult qualified personnel.

7. Acceptable Use

  1. Prohibited Conduct

    You shall not use the Site to:

    • Violate any law, regulation, or these Terms;
    • Upload or transmit malicious code, viruses, or harmful content;
    • Infringe upon any intellectual property or privacy rights;
    • Post unauthorized commercial communications, spam, or false/misleading content;
    • Collect information of other users without consent, or otherwise disrupt the Site’s security or operation.
  2. Third-Party Links

8. Disclaimer of Warranties (U.S. Users)

  1. “As Is” Basis

    To the maximum extent permitted by law, the Site and all content are provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

    We do not warrant that the Site or any content will be uninterrupted, error-free, or virus-free.

  2. Applicable Jurisdictions

    Certain jurisdictions may not allow the disclaimer of implied warranties, so the above may not fully apply to you.

9. Limitation of Liability (U.S. Users)

  1. No Indirect Damages

    To the fullest extent permitted by law, Remco Tools (including affiliates, officers, employees, agents) is not liable for any indirect, incidental, special, consequential, or punitive damages (e.g., lost profits, data loss, or business interruption).

  2. Liability Cap

    Our total liability, in aggregate, shall not exceed the greater of the amount you paid us in the preceding 12 months for the applicable product(s) or one hundred U.S. dollars (USD $100).

  3. Applicable Jurisdictions

    Some jurisdictions do not allow limitation of certain damages, so parts of this section may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Remco Tools, its affiliates, officers, directors, employees, and agents from all claims, liabilities, damages, losses, or demands (including reasonable legal fees) arising out of or related to:

  • Your use or misuse of our products contrary to the instructions or applicable safety standards,
  • Your violation of these Terms or applicable law,
  • Any content you submit, post, or transmit through the Site that infringes or violates any rights of a third party.

11. Governing Law & Dispute Resolution

  1. Governing Law

    These Terms are governed by and construed under the laws of the State of Oregon, USA, without regard to conflict-of-law principles. EU/EEA/UK/Swiss/Norwegian consumers retain rights under applicable consumer protection laws in their country.

  2. Venue

    Any legal action against Remco Tools must be filed in the state or federal courts located in Multnomah County, Oregon, USA. You consent to that jurisdiction. EU/EEA/UK/Swiss/Norwegian consumers may alternatively bring claims in the courts of their habitual residence.

  3. Informal Resolution

    We encourage resolving disputes amicably before resorting to litigation. Please contact us at info@remcotools.com to discuss any issue.

12. Privacy Policy

Your use of the Site is also governed by our Privacy Policy, describing how we collect, use, and safeguard your personal information.

13. Assignment

We may transfer or assign our rights and obligations under these Terms in the event of a merger, acquisition, or sale of assets, or by operation of law. You may not assign or transfer your rights without our prior written consent.

14. Changes to These Terms

We may update or modify these Terms at any time by posting a revised version on the Site. The “Last Updated” date indicates when changes become effective. Your continued use of the Site after changes take effect signifies your acceptance of those changes.

15. No Waiver

Our failure to enforce any provision here does not waive our right to do so subsequently.

If any part of these Terms is deemed invalid or unenforceable, that part is severed, and the remaining provisions remain in effect.

17. Entire Agreement

These Terms, along with any referenced policies, constitute the entire agreement between you and Remco Tools regarding the Site and supersede any prior agreements or communications.
